Affiliate Program Terms & Conditions
Definitions
Exclusive Referral Clause: The affiliate who refers a patient (hereinafter referred to as “the referring Affiliate”) agrees that they will not pass the same lead/patient referral to another individual or legal entity. The Referring Affiliate shall ensure that each referral they share is exclusively directed to Healthy Cosmos®, and any breach of this clause will be considered a material violation of this agreement.
- Affiliate: The entity or individual participating in the affiliate program to refer patients for medical tourism services.
- Company: Refers to Healthy Cosmos® Private Limited, provider of medical tourism facilitation services.
- Patient: Individuals referred by the Affiliate to receive medical tourism services & treatment.
Participation
- Eligibility: Affiliates must be legally able to enter into agreements, and comply with all applicable laws.
- Application: Affiliates must submit accurate and complete information during the application process.
- Approval: Participation in the affiliate program is subject to approval by the Company.
Affiliate Responsibilities
- Referrals: Affiliates agree to actively promote and refer patients to the Company for medical tourism services.
- Marketing Compliance: Affiliates will market and promote services in compliance with all applicable laws and regulations.
- Ethical Standards: Affiliates will maintain high ethical standards and avoid misleading or deceptive practices.
- Data Protection: Affiliates will handle patient information with utmost confidentiality and comply with data protection laws.
- Comply with your all local laws
Company Obligations
- Service Provision: The Company agrees to provide medical tourism services to referred patients.
- Commission Payment: The Company agrees to pay commissions to Affiliates based on agreed terms for each referred patient who completes services.
Commission Structure
- Rates: Commission rates and payment terms will be agreed upon separately and may vary based on quality of services and volume of referred patients.
- Payment: Commissions will be paid based on verified patient referrals and after completed services.
Termination
- Termination: Either party may terminate this agreement with written notice. Termination does not affect accrued rights, benefits and obligations prior to termination.
- Consequences: Upon termination, Affiliates must cease using Company’s trademarks and promotional materials.
Limitation of Liability
- Indemnification: Affiliates agree to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from their actions or referrals.
- Limitation: In no event shall either party be liable for consequential, incidental, indirect, or punitive damages.
Miscellaneous
- Entire Agreement: This agreement constitutes the entire understanding between the parties.
- Amendments: Amendments to this agreement must be made in writing and signed by authorized representatives of both parties.
- Governing Law: This agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
Acceptance
- Consent: By participating in the affiliate program, Affiliates acknowledge they have read, understood, and agree to abide by these terms and conditions.
